Terms of Service

1. Who you are agreeing with

MarkupWolf is operated by Christopher Czernisz, doing business as MarkupWolf, a sole proprietorship located in Wisconsin. In these terms, "we" and "us" mean that business, and "you" means the person or business using the service. You can reach us at [email protected] or at P.O. Box 343, Hustisford, WI 53034.

By creating an account or using the service, you agree to these terms. If you do not agree, do not use the service.

2. What the service is

MarkupWolf is a pricing and quoting tool for home service contractors. It helps you build a price book, calculate prices for jobs, produce quotes as PDFs, and share those quotes with your customers.

3. Benchmarks are starting points, not appraisals

This is the most important thing in this document, so it is near the top.

Any default rates, production rates, materials costs, markups, or price ranges the service shows you are benchmarks assembled from published cost guides and general industry information. They are starting points for you to tune to your own costs and your own market. They are not appraisals, not estimates of what a specific job will cost, and not advice about what you should charge.

You are the one setting your prices. You are responsible for confirming your own labor costs, materials costs, overhead, and margins before you send a quote to anyone. We do not guarantee that any number the service produces is accurate, profitable, or appropriate for your business, your region, or any particular job.

We make no promise about your income, your win rate, or your profitability.

4. Your account

You need an account to use most of the service. Keep your password to yourself and tell us promptly if you think someone else has access. You are responsible for what happens under your account.

You must be at least 18 years old and using the service for business purposes.

5. Your content

Your price books, quotes, business profile, and customer information stay yours. We do not claim ownership of them.

You give us permission to store, process, and display that content for the purpose of operating the service for you, including generating your PDFs and serving your quote share links.

You are responsible for the information you enter about your own customers, including having the right to enter it and to send them quotes.

6. Subscriptions, billing, and cancellation

The service has a free tier and a paid tier called Pro. Pro is billed at $12 per month, or $99 per year for the founder plan, in US dollars, through Stripe. Prices are shown at checkout before you pay.

Paid plans renew automatically at the end of each billing period until you cancel. You can cancel yourself from the billing portal, which you reach from your settings page inside the app. If you would rather we do it, email [email protected] and we will cancel for you. Cancellation takes effect at the end of the billing period you have already paid for, and you keep Pro access until then.

We do not refund partial billing periods. If you believe you were charged in error, email us and we will look at it in good faith.

If we change our prices, we will tell you before the change applies to your renewal.

Digital products such as ebooks and template packs are sold separately through Gumroad and are governed by Gumroad's terms and refund policy at the time of purchase, not by this section.

7. What you may not do

Do not use the service to break the law. Do not try to break into other users' accounts or our systems. Do not scrape, resell, or redistribute our benchmark data as a product of your own. Do not use the service to send anything harassing, fraudulent, or deceptive to your customers.

We can suspend or close an account that does these things.

8. The service is provided as is

The service is provided as is and as available, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the service will be uninterrupted, error free, or that any benchmark, calculation, or output will be accurate or suitable for your purposes.

9. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost revenue, lost business, underbid or mispriced jobs, or lost or corrupted data, arising out of or relating to your use of the service, whether based in contract, tort, or any other theory, even if we have been advised of the possibility of those damages.

To the fullest extent permitted by law, our total liability for all claims relating to the service is limited to the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or one hundred US dollars.

Some jurisdictions do not allow some of these limitations, so parts of this section may not apply to you.

10. Indemnity

You agree to indemnify and hold us harmless from claims brought by your customers or other third parties arising out of the prices you set, the quotes you send, the work you perform, or the information you enter into the service.

11. Ending the agreement

You can stop using the service and close your account at any time by emailing us. We can suspend or end your access if you breach these terms. Sections 3, 5, 8, 9, 10, and 12 survive the end of this agreement.

12. Governing law and where disputes are heard

These terms are governed by the laws of the State of Wisconsin, without regard to its conflict of laws rules. Any dispute relating to these terms or to the service will be brought in the state or federal courts located in Wisconsin, and you consent to the jurisdiction of those courts.

Nothing in this section takes away any right you have under a consumer protection law of your own state that cannot be waived by agreement.

13. Changes to these terms

We may update these terms. If we make a material change, we will update the effective date at the top and, where it affects paying subscribers, tell you by email. Continuing to use the service after a change means you accept the updated terms.
